Kelvin Kesse is the founding partner of Kesse PLLC, a corporate law firm. Prior to founding Kesse PLLC, Mr. Kesse practiced law at some of the biggest and most prestigious law firms in the United States. Mr. Kesse’s practice focuses on securities, capital markets, SEC reporting, emerging companies and startups, and general corporate law. He regularly advises clients on public and private securities offerings and financings, and he has significant experience with U.S.-Canadian cross-border offerings and other foreign private issuer offerings. He assists clients with IPOs (both traditional and Regulation A+, among others) direct listings, follow-on/secondary offerings, registered direct offerings, SPAC formations, IPOs and business combinations (deSPACs), tender offers, emerging companies and startups counseling, all aspects of emerging companies & startup matters, SEC reporting and compliance (including Form 10-Ks, Form 10-Qs, Form 8-Ks, Form 20-Fs, Form 40-Fs, Form 6-Ks, Information Statements, Proxy Statements, and Information Circulars) and stock exchange initial and additional listing and on-going listing requirements and compliance (including Nasdaq, NYSE and NYSE American, as well as the OTC Markets).

Mr. Kesse graduated from Harvard Law School, and is admitted to practice in Texas, the District of Columbia, Massachusetts, the state of Washington and North Carolina.
